These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer" or "you") and Flowix Agents B.V. ("Company," "we," "us," or "our") regarding your use of our AI automation services and website.
By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.
Important: These Terms include important provisions such as a binding arbitration clause and class action waiver that affect your rights. Please read carefully.
2. Description of Services
2.1 AI Agent Services
We provide AI-powered automation agents including but not limited to:
- Email management and response automation
- Customer service chatbots
- LinkedIn lead generation and outreach
- Sales process automation
- Custom AI solutions as agreed upon
2.2 Professional Services
We also offer consultation, implementation, training, and custom development services to support your automation initiatives.
3. Account Registration and Security
3.1 Account Creation
- You must provide accurate, current, and complete information
- You must be at least 18 years old or have legal capacity to enter contracts
- Business accounts must be created by authorized representatives
- One account per customer unless otherwise agreed
3.2 Account Security
- You are responsible for maintaining the confidentiality of your login credentials
- You must notify us immediately of any unauthorized access
- You are liable for all activities under your account
- We recommend using strong passwords and enabling two-factor authentication
4. Subscription and Payment Terms
4.1 Subscription Plans
- Services are provided on a monthly subscription basis
- Pricing is as displayed on our website at time of purchase
- Plans automatically renew unless cancelled
- We reserve the right to change pricing with 30 days notice
4.2 Payment Processing
- Payments are processed securely through Stripe
- All fees are charged in Euros (EUR) unless otherwise specified
- Payments are due monthly in advance
- Failed payments may result in service suspension
4.3 Refund Policy

- 30-day money-back guarantee for new customers
- Refunds processed within 5-10 business days
- Custom development work may have different refund terms
- Refunds are prorated for partial month usage
4.4 Taxes
Prices exclude applicable taxes. You are responsible for any taxes, duties, or other charges imposed by your jurisdiction.
5. Acceptable Use Policy

You may NOT use our services to:
- Send spam, unsolicited emails, or engage in illegal marketing practices
- Violate any laws, regulations, or third-party rights

- Attempt to reverse engineer, hack, or compromise our systems
- Use our services for competitors' benefit or resale without permission
- Generate or distribute malicious content, misinformation, or harmful material
- Violate GDPR, CAN-SPAM, or other privacy/marketing regulations

- Comply with all applicable laws and regulations
- Respect third-party intellectual property rights
- Maintain appropriate data protection and privacy measures
- Use services in accordance with our documentation and guidelines
6. Data Protection and Privacy
6.1 Customer Data
- You retain ownership of your business data
- We process data solely to provide agreed services
- We implement appropriate security measures to protect your data
- Data processing is governed by our Privacy Policy and DPA
6.2 Data Processing Agreement (DPA)
For customers subject to GDPR, our Data Processing Agreement governs our processing of personal data. This is available upon request.
6.3 AI Training Data
We may use aggregated, anonymized data to improve our AI models and services. Your specific business data and confidential information are never used for AI training without explicit consent.
7. Service Level Agreement (SLA)
7.1 Uptime Guarantee
- 99.9% uptime for core services
- Scheduled maintenance excluded
- Service credits for downtime exceeding SLA
- Real-time status monitoring available
7.2 Support Response Times
- Critical issues: 4 hours
- General support: 24 hours
- Feature requests: 72 hours
- Business hours: Mon-Fri 9AM-6PM CET
8. Intellectual Property Rights
8.1 Our Intellectual Property
- We retain all rights to our AI technology, software, and platform
- Our trademarks, logos, and branding remain our property
- You receive a limited license to use our services as intended
- No rights are granted beyond those explicitly stated
8.2 Your Intellectual Property
- You retain ownership of your business data, content, and materials
- You grant us limited rights to process your data to provide services
- You represent that you have rights to data you provide to us
- You're responsible for ensuring your use doesn't infringe third-party rights
9. Warranties and Disclaimers
9.1 Our Warranties
- Services will perform substantially as described
- We will use commercially reasonable efforts to maintain security
- We will comply with applicable privacy laws
- Our team has appropriate qualifications and expertise
9.2 Disclaimers
IMPORTANT: Services are provided "AS IS" without warranties beyond those explicitly stated.

10. Limitation of Liability

10.1 Damages Cap
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
10.2 Excluded Damages
We shall not be liable for indirect, consequential, special, or punitive damages, including lost profits or business interruption.
10.3 Exceptions
These limitations do not apply to our gross negligence, willful misconduct, or violations of confidentiality.
11. Termination
11.1 Termination by You
- Cancel your subscription anytime through your account dashboard
- Cancellation takes effect at the end of your current billing period
- No refund for unused portion of prepaid period (except as stated in refund policy)
11.2 Termination by Us
- We may terminate for breach of these Terms after reasonable notice
- Immediate termination for illegal use or security threats
- 30 days notice for termination without cause
- Pro-rated refund for prepaid unused services
11.3 Effect of Termination
- Access to services ceases immediately
- We will return or delete your data as requested
- Obligations regarding confidentiality survive termination
- You may export your data during a 30-day grace period
12. Governing Law and Disputes
12.1 Governing Law
These Terms are governed by the laws of the Netherlands, excluding conflict of law principles.
12.2 Dispute Resolution
- Informal Resolution: Contact us first to resolve disputes amicably
- Mediation: If informal resolution fails, disputes will go to mediation
- Arbitration: Final disputes resolved through binding arbitration in Amsterdam
- Jurisdiction: Courts of Amsterdam, Netherlands have exclusive jurisdiction
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy and any signed agreements, constitute the entire agreement between us.
13.2 Modifications
We may update these Terms with 30 days notice. Continued use constitutes acceptance of changes.
13.3 Severability
If any provision is invalid, the remainder of these Terms remains in effect.
13.4 Assignment
We may assign these Terms; you may not assign without our written consent.
